Abstract

Systems and methods for offering and purchasing tokenized securities on a blockchain platform meeting current and future federal, state, and offering and holding entity rules and regulations. Tokenized securities purchased during or after the tokenized securities offering are tradable on a secondary market. The server computer of the tokenized securities provides an automated transfer capability for tokenized securities holders.

Claims (43)

1. A system for performing transactions of tokenized securities, comprising:

an immutable ledger-based platform; and

at least one server computer for a tokenized securities offering entity;

wherein the immutable ledger-based platform is in network communication with the at least one server computer for the tokenized securities offering entity;

wherein the immutable ledger-based platform facilitates a transaction of tokenized securities from the tokenized securities offering entity between at least one buyer and at least one seller;

wherein the tokenized securities are associated with at least one bundle of rights, wherein the at least one bundle of rights designates dynamic rights of shareholders and/or dynamic rights of an issuer of the tokenized securities;

wherein the immutable ledger-based platform initiates at least one activity request to at least one rights participant, wherein the at least one activity request is completed upon a designated action made by the at least one rights participant or inaction by the at least one rights participant for an execution time period;

wherein upon completion of activity requests associated with each bundle of rights associated with all of at least one securities token, the at least one securities token is automatically transferred to at least one financial account or wallet and the transaction is recorded on an immutable distributed ledger; and

wherein the immutable ledger-based platform automatically configures a series of steps for conducting one or more types of transactions for the tokenized securities offering entity based on information associated with each bundle of rights associated with a plurality of shareholders of the tokenized securities offering entity.

2. The system of claim 1 , wherein the immutable distributed ledger is a blockchain.

The system of claim 1 , wherein the at least one bundle of rights provides partial sales rights, fractional sales rights, co-sale rights, affiliate sales rights, bid rights, approval rights, offer rights, refusal rights, undersubscribed rights, closing rights, redemption of call rights, put rights, tag-along rights, drag-along rights, voting rights, transfer rights, liquidation rights, and/or custom rights.

The system of claim 1 , wherein the at least one bundle of rights provides rules associated with a transfer window for the tokenized securities, wherein the transfer window represents a period of time during which the transactions of the tokenized securities are enabled through the immutable ledger-based platform, and wherein the immutable ledger-based platform allows the transfer window to be viewed, paused, restarted, and/or terminated in real time.

5. The system of claim 1 , wherein the at least one bundle of rights enables transfer of one or more of the at least one securities token between two or more shareholders, and wherein the two or more shareholders include the at least one buyer and the at least one seller.

6. The system of claim 1 , wherein the at least one bundle of rights associated with a particular tokenized security persist following transactions of the particular tokenized security.

The system of claim 1 , wherein the at least one activity request includes a document requirement, wherein the document requirement includes a requirement that a document is opened, read, and/or signed by at least one user device or read by the at least one user device before the at least one activity request is completed.

8. The system of claim 1 , wherein the at least one activity request is only able to be completed by a user device associated with a particular user profile that is not associated with the at least one buyer or the at least one seller.

9. The system of claim 1 , wherein the immutable ledger-based platform allows the completion of multiple activity requests in parallel.

The system of claim 1 , wherein the immutable distributed ledger includes a valuation estimator interface, wherein the valuation estimator interface displays a range of estimated current valuation of the tokenized securities and/or the issuer of the tokenized securities and a range of estimated future valuation of the tokenized securities and/or the issuer of the tokenized securities based on a capitalization structure, transactional pricing, and a confidence level in the estimated current valuation and/or a confidence level in the estimated future valuation.

The system of claim 1 , wherein the immutable distributed ledger includes a capitalization table interface, wherein the capitalization table interface displays information including at least one owner and at least one share class, wherein the information further includes a number of shares for each of the at least one owner in each of the at least one share class, a percentage of shares for each of the at least one owner in each of the at least one share class, and/or a total percentage of issued, outstanding, and/or fully diluted shares for each of the at least one owner, wherein the capitalization table interface provides for export of the information to a comma-separated values file, a spreadsheet file, or a database file, and wherein the capitalization table interface is updated in real time based on the transactions of the tokenized securities.

12. The system of claim 1 , wherein the immutable ledger-based platform sends at least one message to at least one user device, wherein the at least one message includes at least one document and a response required indicator for the at least one document.

The system of claim 1 , wherein the immutable ledger-based platform provides at least one poll question including at least one templated item to at least one user device, wherein the at least one templated item is uniquely constructed for the at least one user device based on ownership of the tokenized securities and profile data associated with the at least one user device.

14. The system of claim 1 , wherein the immutable ledger-based platform provides at least one poll question, wherein each of the at least one poll question includes an expiration date and/or at least one poll response for the at least one poll question.

15. The system of claim 1 , wherein the immutable ledger-based platform includes a vesting schedule interface, wherein the vesting schedule interface includes a timeline for vesting of the tokenized securities and a percentage of tokenized securities currently vested.

The system of claim 1 , wherein the immutable ledger-based platform converts a first tokenized securities to a second tokenized securities, wherein conversion of the first tokenized securities to the second tokenized securities includes a trigger event for the conversion, at least one conversion option for the conversion, and a party that selects one of the at least one conversion option for the conversion.

The system of claim 1 , wherein the immutable ledger-based platform includes an audit trail, wherein the audit trail includes a name of at least one activity, a description of the at least one activity, a status of the at least one activity, a date of the at least one activity, a time of the at least one activity, data related to the at least one activity, and/or a party who completed the at least one activity.

18. A system for performing transactions of tokenized securities, comprising:

an immutable ledger-based platform; and

at least one server computer for a tokenized securities offering entity;

wherein the immutable ledger-based platform is in network communication with the at least one server computer for the tokenized securities offering entity;

wherein the immutable ledger-based platform facilitates a transaction of tokenized securities for the tokenized securities offering entity between at least one buyer and at least one seller;

wherein the tokenized securities are associated with at least one bundle of rights;

wherein the immutable ledger-based platform initiates at least one activity request to at least one rights participant, wherein the at least one activity request is completed upon a designated action made by the at least one rights participant or inaction by the at least one rights participant for an execution time period;

wherein the at least one bundle of rights associated with a particular tokenized security persist following transactions of the particular tokenized security; and

wherein the immutable ledger-based platform automatically configures a series of steps for conducting one or more types of transactions for the tokenized securities offering entity based on information associated with each bundle of rights associated with a plurality of shareholders of the tokenized securities offering entity.

The system of claim 18 , wherein the at least one bundle of rights provides partial sales rights, fractional sales rights, co-sale rights, affiliate sales rights, bid rights, approval rights, offer rights, refusal rights, undersubscribed rights, closing rights, redemption of call rights, put rights, tag-along rights, drag-along rights, voting rights, transfer rights, liquidation rights, and/or custom rights.

20. A system for performing transactions of tokenized securities, comprising:

an immutable ledger-based platform; and

at least one server computer for a tokenized securities offering entity;

wherein the immutable ledger-based platform is in network communication with the at least one server computer for the tokenized securities offering entity;

wherein the immutable ledger-based platform facilitates a transaction of tokenized securities for the tokenized securities offering entity between at least one buyer and at least one seller;

wherein the immutable ledger-based platform initiates at least one activity request to at least one rights participant, wherein the at least one activity request is completed upon a designated action made by the at least one rights participant or inaction by the at least one rights participant for an execution time period;

wherein the immutable ledger-based platform alerts at least one offline user in real time when participation becomes available for the at least one offline user upon completion of the at least one activity request; and

wherein the immutable ledger-based platform automatically configures a series of steps for conducting one or more types of transactions for the tokenized securities offering entity based on information associated with bundles of rights associated with a plurality of shareholders of the tokenized securities offering entity.
